1. Acceptance of Terms

By accessing or using Geliana Pay ("the Platform", "we", "us", "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Platform.

These Terms are a binding legal agreement between you ("you", "your", "User") and Geliana Pay. They supplement any other agreements between us, including our Privacy Policy.

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or through the Platform.

2. Definitions

"Creator"
A registered user who uses the Platform to receive tips or send invoices.
"Payer" / "Client"
A person who sends a tip or pays an invoice through the Platform.
"Platform"
The Geliana Pay website and services, accessible at pay.geliana.com.
"Paystack"
Our licensed payment processing partner, Paystack Payments Limited (CBK-approved PSP).
"KYC"
Know Your Customer — identity verification required by law before using certain Platform features.
"Data Protection Act"
The Kenya Data Protection Act, No. 24 of 2019, and any associated regulations.

3. Eligibility and Registration

To use the Platform as a Creator, you must:

  • Be at least 18 years old and have legal capacity to contract
  • Be a resident of Kenya (for KYC-required features)
  • Provide accurate, current, and complete information during registration
  • Maintain a single user account — duplicate accounts are prohibited
  • Complete identity verification (KYC) before sending invoices or receiving payouts

You are responsible for safeguarding your account credentials. We are not liable for unauthorised access resulting from your failure to secure your login information.

4. Identity Verification (KYC)

Geliana Pay is required by law to verify the identity of all Creators before they can send invoices or receive payouts. This process is called Know Your Customer (KYC).

As part of KYC, you must provide:

  • A clear selfie or profile photo
  • A copy of your national ID or passport
  • Your KRA PIN
  • Your national ID number
  • Payout details (M-Pesa number or bank account)

KYC information is encrypted at rest using AES-256-GCM and is only accessible to authorised administrative personnel for verification purposes. Submitted data is retained in accordance with the Data Protection Act and our Privacy Policy.

A non-refundable KYC verification fee of KSh 50 is charged to cover identity review costs. This fee is payable before your submission is reviewed.

Geliana Pay reserves the right to reject KYC submissions that contain fraudulent, misleading, or incomplete information. Rejected applicants may resubmit with corrected details. Repeated fraudulent submissions may result in permanent account suspension.

5. Services

5.1 Tip Pages

Creators receive a public `/tip/[handle]` page where supporters can send voluntary payments ("tips"). Tips are processed by Paystack and are subject to the fees described in Section 6. Tip pages can be customised with appearance settings including accent colour, hero patterns, card and button styles, cover images, and a custom headline.

5.2 Invoices

Creators can generate invoices and share a `/pay/[id]` link with their clients. Invoices may include a payment deadline (due date). Clients can pay invoices online without needing an account. Invoicing is only available to Creators who have completed KYC. Creators may also send payment reminder emails to clients subject to a limit of 3 reminders per invoice and a cooldown of 1 reminder per 24 hours. Invoice pages can be customised with appearance settings including invoice logo, custom title, and footer notes.

5.3 Email Notifications

Geliana Pay sends email notifications to Creators and Payers through our email service provider, Resend. Notifications include tip received confirmations, invoice payment confirmations, payment reminders to clients, and KYC submission alerts to administrators. Email notifications are sent from notifications@pay-notifications.geliana.com. A permanent record of every sent email (including recipient, subject, body, status) is maintained for audit purposes.

5.4 Payment Processing

Geliana Pay is a payment facilitator, not a financial institution or bank.All payment processing is carried out by Paystack Payments Limited, a Central Bank of Kenya licensed Payment Service Provider. Funds flow from the Payer through Paystack to the Creator's designated payout account.

Geliana Pay does not hold, custody, or lend user funds. Creators do not maintain a balance on the Platform — funds are settled directly to their registered M-Pesa or bank account after transaction processing and applicable hold periods.

6. Fees and Payment Terms

The Platform charges the following fees:

6.1 Platform Fees

  • Invoices: 2% of the invoice amount, capped at KSh 5,000
  • Tips: A per-tip platform fee calculated at the time the tip is created
  • KYC Verification: A one-time non-refundable fee of KSh 50

6.2 Paystack Processing Fees

Paystack charges a processing fee on each transaction. For KES transactions, this is 1.5% + KSh 30, capped at KSh 4,000. These fees are deducted before the Creator receives their payout.

6.3 Fee Changes

We may change our fees at any time with 30 days' notice. Continued use of the Platform after fee changes take effect constitutes acceptance of the new fees.

7. Creator Obligations

As a Creator, you agree to:

  • Provide accurate information in all invoices and communications
  • Fulfil any goods or services promised in exchange for payment
  • Comply with all applicable laws, including tax obligations (income tax, VAT, etc.)
  • Not use the Platform for illegal, fraudulent, or prohibited activities
  • Not create invoices for prohibited goods or services (see Section 8)
  • Maintain accurate records of transactions for tax purposes

Creators are independent users of the Platform. Geliana Pay is not an employer, partner, or joint venture participant with any Creator.

8. Prohibited Uses

The Platform may not be used for:

  • Fraudulent, deceptive, or misleading transactions
  • Money laundering or terrorist financing
  • Transactions involving illegal goods or services
  • Gambling, betting, or sweepstakes (unless properly licensed)
  • Weapons, ammunition, or explosives
  • Controlled substances or drug paraphernalia
  • Child exploitation or human trafficking
  • Any activity that violates Kenyan law or international sanctions

We reserve the right to report suspicious activity to relevant authorities, including the Kenya Financial Reporting Centre (FRC) and the Directorate of Criminal Investigations (DCI), without prior notice to the user.

9. Fraud Prevention and Hold Periods

To protect against chargebacks and fraudulent transactions, payouts to Creators are subject to a brief hold period after payment is confirmed. During this period, funds are held by Paystack and are not available to Geliana Pay or the Creator.

The hold period is determined by the payment channel:

  • M-Pesa payments: typically released after a standard fraud review window
  • Card payments: subject to the acquiring bank's settlement timeline

Geliana Pay may extend hold periods for high-risk transactions or at its sole discretion based on risk assessment.

10. Suspension and Termination

We may suspend or terminate your account at any time, with or without cause, including but not limited to:

  • Breach of these Terms
  • Suspected fraudulent or illegal activity
  • Provision of false or misleading information
  • Request by law enforcement or regulatory authority
  • Inactivity for an extended period

Upon termination, your right to use the Platform ceases immediately. Outstanding payouts will be processed according to our standard settlement schedule, unless prohibited by law or regulation.

If you wish to delete your account, you may submit a deletion request through your account settings. Deletion requests are reviewed and processed in accordance with our Data Deletion Policy (see Section 11).

11. Data Deletion and Account Closure

Users may request deletion of their account and associated data. The following process applies:

  1. A deletion request is submitted through the account settings or by contacting support
  2. Self-requested deletions are flagged for administrative review
  3. Upon approval, a 30-day buffer period applies by default before permanent erasure
  4. During the buffer period, the user may cancel the deletion request
  5. After the buffer period, all personal data is permanently erased

Data retained after deletion: Certain data may be retained where required by law, including transaction records for financial audit purposes, KYC records for anti-money laundering compliance, and audit logs of administrative actions.

Users who have been deleted and later wish to use the Platform again may restore their account through the deliberate rehabilitation process. Previous transaction data cannot be recovered.

12. Intellectual Property

The Geliana Pay name, logo, and brand assets are our trademarks. You may not use them without prior written permission.

Content you create (invoices, profile information, appearance settings) remains your intellectual property. You grant us a limited license to host, display, and process this content as necessary to provide our services.

13. Limitation of Liability

To the maximum extent permitted by Kenyan law, Geliana Pay shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or business opportunity
  • Service interruptions caused by factors beyond our reasonable control
  • Acts or omissions of Paystack or other third-party service providers
  • Disputes between Creators and their Payers or Clients

Our total liability for any claim arising from these Terms or your use of the Platform is limited to the total fees paid by you to Geliana Pay in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold Geliana Pay harmless from any claims, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Platform in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights
  • Disputes between you and your Payers or Clients

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal proceedings, you agree to contact us at support@geliana.com and attempt to resolve the dispute informally.

15.2 Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.

15.3 Creator-Payer Disputes

Geliana Pay is not a party to disputes between Creators and their Payers or Clients. Creators are responsible for resolving disputes directly with their clients. Geliana Pay may, at its discretion, assist in facilitating communication but is under no obligation to do so.

16. Amendments

We may amend these Terms at any time. Material changes will be communicated via email or through the Platform at least 14 days before they take effect. Your continued use of the Platform after amendments take effect constitutes acceptance of the updated Terms.
